DTM Legal is pleased to confirm that it has acted on behalf of the owners and managers of D. A.  Roberts Fuels Limited in connection with the sale of its shares to Roadside Real Estate PLC.

Exchange of contracts has now taken place in a deal with a total value of £13.6 million, with completion set to take place before the end of March.

D. A. Roberts is based at Grindley Brook Garage, near Whitchurch in Shropshire. The business, which was founded by Dave Roberts over 50 years ago comprises a petrol station, MOT garage and bulk fuel supply, and has built a strong reputation with motorists and the wider community.

Roberts delivers more than 81 million litres of fuel per annum and is particularly well known within the region for offering some of the best fuel prices, making it a preferred choice for drivers and a highly recognisable local business. Director and shareholder, Ricky Allman, says “We have quite a clear pricing strategy. We take the wholesale price, add the margin we require, and the VAT, and that is the pole price. We don’t look at any of our competitors to determine what we charge.”

The acquisition has been reported as a strategic purchase by Roadside Real Estate, a new entrant in the forecourt sector, as it continues its ambitious national growth plans.

DTM Legal’s Corporate and Commercial and Commercial Property Teams advised on the legal complexities involved in a deal of this scale throughout what was a lengthy sale process, working alongside Brian Wake, a Partner at Excello Law, who advised on various environmental aspects.

Ed Barnes, Head of Corporate & Commercial at DTM Legal, said:
“We have known and acted for the Roberts family for a while now, and a lot of hard work has gone into getting to exchange of contracts. It has been really rewarding to work with the D. A. Roberts management and shareholders, and all the other advisors, and we wish the business every success in the future and a happy retirement for Dave and Pat.”

Ed Barnes and Stephen Lunt, a Partner in the Commercial Property Team, led the DTM Legal Team on this matter. This cross-department collaboration reflects DTM Legal’s ongoing expertise in advising businesses on corporate transactions, including business sales, acquisitions and associated commercial property matters.

If you are considering the sale or purchase of a business, DTM Legal’s Corporate & Commercial Team can help guide you through every stage of the process.
