We are looking for a Senior Corporate & Commercial solicitor to join our team based in the Liverpool office. You should currently be working at Associate level or higher with experience of handling a mixed caseload with experience of the following:
Corporate work – mergers, sales and acquisition and restructure work. Experience of leading share and asset sales, including running due diligence, dealing with share for share exchanges, share issues, articles of association and shareholders agreements, demergers, rights issues, banking work experience preferable in terms of guarantees, charges, debentures, facility agreements and experience of acting for lenders. Some experience of partnership and LLP work preferable.
Commercial work – franchise agreements, distribution agreements, terms of trading, NDAs, agency agreements, some competition law experience preferable, service level agreements, consultancy agreements, preferable some IP experience in terms of assignments and licensing, website terms, privacy policies, trade mark registrations, joint ventures and collaborations.
It is integral that you have a good knowledge of the Liverpool market, contacts and work providers.
A client following would be desirable but it not essential.
